Pro Bono Technology Services Agreement

Between: UCCA Inc (DBA: Universal Capability Certification Authority) And: The UCCO Foundation (pre-incorporation; currently administered by Tim Rignold as founding steward)

1. Purpose

This agreement establishes the terms under which UCCA Inc provides technology services to the UCCO Foundation at no cost, in support of the foundation's mission to develop and maintain the Universal Capability Certification Open Standard (UCCO).

This agreement is published in full on ucco.foundation to ensure complete transparency about the relationship between UCCA Inc, a commercial entity, and the UCCO Foundation, an independent standards body.


2. Services Provided

UCCA Inc agrees to develop, operate, and maintain the following on behalf of the UCCO Foundation, at no cost to the foundation:

a) The UCCO App A mobile application published under the UCCO Foundation brand, providing secure identity verification and authenticated access to foundation resources. The app is built on UCCA's proprietary capability certification technology.

b) Foundation Infrastructure Website hosting, domain management, API services, and related technical infrastructure required for the foundation's operations, public-facing surfaces, and standard development activities.

c) Ongoing Maintenance Security updates, bug fixes, and reasonable feature development to keep foundation services operational and current.


3. Intellectual Property

All intellectual property developed by UCCA Inc — including but not limited to source code, algorithms, cryptographic methods, architectural designs, and proprietary systems — remains the sole property of UCCA Inc.

No intellectual property is transferred, licensed, donated, or assigned to the UCCO Foundation under this agreement. UCCA Inc provides a service, not a technology transfer.

The UCCO Standard itself, maintained in the foundation's public repository, is licensed under CC BY 4.0 and is not UCCA Inc property.


4. Foundation Data

All data generated through foundation operations — including but not limited to member records, governance documents, access logs, correspondence, and financial records — is the property of the UCCO Foundation.

UCCA Inc will not access, use, sell, or disclose foundation data for any commercial purpose. Foundation data will be made available to the foundation's designated administrators at all times and will be provided in full upon request or upon termination of this agreement.


5. Foundation Brand

The UCCO Foundation grants UCCA Inc a limited, revocable licence to use the UCCO name, logo, and associated marks solely for the purpose of publishing and operating the UCCO App and foundation infrastructure as described in this agreement.

This licence does not extend to any commercial use of the UCCO mark by UCCA Inc.


6. Independence

Nothing in this agreement grants UCCA Inc any governance authority, voting rights, editorial control, or decision-making power over the UCCO Standard, its development process, or the foundation's operations.

The foundation's governance is defined in its published Governance documents and operates independently of UCCA Inc.

UCCA Inc is a commercial implementer of the UCCO Standard. It is not the owner, controller, or sole beneficiary of the standard.


7. Fees

UCCA Inc provides all services described in this agreement at no cost to the UCCO Foundation. No fees, revenue sharing, equity, licensing payments, or other financial consideration is required from the foundation.

UCCA Inc bears all costs of development, hosting, and maintenance.


8. Termination

Either party may terminate this agreement with 90 days' written notice.

Upon termination: - All foundation data will be transferred to the foundation within 30 days. - The UCCO App may continue to operate for a transition period of up to 180 days to allow the foundation to arrange alternative services. - UCCA Inc's licence to use the UCCO mark will expire upon completion of the transition.


9. No Exclusivity

This agreement does not prevent the UCCO Foundation from engaging other technology providers, developing its own infrastructure, or commissioning alternative implementations of the UCCO Standard.

UCCA Inc's role as pro bono technology provider does not confer any preferential treatment, exclusive access, or competitive advantage in relation to the standard or its governance.


10. Disclosure

This agreement is a public document. It is published in full on ucco.foundation and linked from the foundation's governance documentation.

Any amendments to this agreement will be published with the same transparency.
