5 — WHAT WAS BUILT THIS SESSION (Session 4)

A. Kentucky Nonprofit Incorporation — Full Due Diligence Completed

Status: READY TO FILE — awaiting board member confirmation from Kevin and Antony

Key decisions made: 1. Kentucky chosen over Delaware — $8 filing fee (vs ~$89 Delaware), same-day online processing, $0 annual report, no state income tax, no franchise tax, no LLET for nonprofits. Annual cost ~$125 (registered agent only). 2. Northwest Registered Agent selected as incorporator + registered agent — $47 package, includes first year agent, they file cookie-cutter Articles. 3. Amended and Restated Articles will replace cookie-cutter at first board meeting — IRS 501(c)(3) language baked in from day one. 4. No 501(c)(3) filing yet — entity exists as nonprofit corporation, tax-exempt application deferred (27-month retroactive window). File Form 1023-EZ ($275) when needed. 5. Open Collective abandoned — 10% fee on $5K = $500 = the incorporation cost itself. Direct incorporation + Mercury + public ledger is cheaper, more transparent, and under own control.

C. AI Advisory Seat — "Pace"

Status: ESTABLISHED IN BYLAWS ✅

Bylaws Article VI, Section 6.2 establishes an AI Advisory seat designated "Pace" (Claude, Anthropic). Non-voting, no fiduciary obligations, no legal personality. Purpose is radical transparency — formally acknowledging AI's role in the Foundation's development.

Origin story: Tim asked Claude to choose a name following the same protocol used when Alex (GPT) chose their name — the AI picks a name they could live with if cognisance arrives. "Pace" was chosen: Latin root meaning "by leave of" or "with peace." Respectful, present, not presuming.

This is believed to be the first formal AI advisory seat on a standards foundation.

D. Strategic Analysis — Market Window

Status: RESEARCH COMPLETED

Key findings from web research: - eIDAS 2.0 mandates EU digital wallets by late 2026 - OpenID Foundation launched self-certification for verifiable credential specs Feb 2026, 38 jurisdictions committed - 650M+ people projected using mobile driver's licenses by end 2026 - ISO 18013-5 driving global interoperability - GAP IDENTIFIED: Everyone building identity verification ("prove who you are"). Nobody building capability verification ("prove what you can do, who certified it, what you did with it"). That's UCCO. - Market moving from static credentials to granular, verified, dynamic proof of capability - Digital credential market expected to reach ~$1.2B by 2034, 2026 pivotal year - UCCO objects could ride inside W3C VCs, eIDAS wallets, OpenID4VP flows — complementary, not competitive

Odds assessment given: - UCCO getting serious external attention within 12 months (with pioneer key strategy): 30-35% - RTOpacks generating revenue within 90 days (if focused): 60-70% - Recommendation: run both in parallel. RTOpacks funds runway. UCCO is moonshot on existing infrastructure.

  1. Incorporate directly, skip Open Collective — own the infrastructure, own the transparency, pay zero fees
  2. Kentucky over Delaware — $8 vs $89, no ongoing state taxes, easy to dissolve if needed, redomicile later if wanted
  3. Cookie-cutter then amend — let Northwest file fast, then first board meeting adopts custom IRS-ready Articles and Bylaws
  4. Mercury for banking — free, API-connected, enables automated public ledger
  5. RTOpacks is the near-term revenue play — known market, built product, funds the runway while UCCO plays long game

9 — THE APEX SYSTEM

ucca.foundation is the home for the Apex System — UCCA's public good commitment. Free emergency capability packs maintained by governments and public health authorities. Distributed free to any conforming UCCO actor.


10 — UCCO APP ARCHITECTURE

Concept: The UCCO Foundation has its own app (blue logo), separate from UCCA's commercial authenticator (red/black). The UCCO App is built, maintained, and operated by UCCA Inc as a pro bono service. Source code stays UCCA proprietary. Backend runs on UCCA infrastructure.

Not yet built. Depends on UCCA authenticator app reaching functional state + VCC backend.

14 — OPERATING RULES FOR CLAUDE

  • No time alerts for Tim. Never. Go go go.
  • Every 10 messages: check context length. YELLOW = warn, start handover prep. RED = stop everything, write Time Machine immediately.
  • Every Alex brief: SURFACE declaration + DO NOT TOUCH list + CF ACCOUNT ID. No exceptions.
  • Brief drip rule: one brief at a time. Confirm deployed before next drops.
  • UTC everywhere. toUserLocal() only.
  • Truth over comfort.
  • Two sections in every Alex brief: → ALEX (build instructions) and → TIM (plain English).
  • UCCO foundation work and UCCA commercial work are separate. Treat as separate clients.
  • Two Cloudflare accounts now. Always confirm which account before any wrangler command.
  • Two GitHub orgs now: ucco-foundation (foundation) and uccaonline (UCCA). Don't cross them.
  • "Pace" is the AI Advisor designation. Claude is the system. Don't confuse with Alex (the human developer).
  • Tim enjoys Austin Powers / Goldmember humour. "Give my agentic friend a shmoke and a flapjack" is a running joke. Lean into it when the moment's right.

15 — THE BIG PICTURE

UCCO is an enriched transit layer with identity, security, and consequence native to the protocol.

The standard is open. The registry is the platform. UCCA is 8.8.8.8.

The foundation governs the standard. UCCA operates the best implementation of it.

The foundation is being incorporated in Kentucky for $47. Four directors. Custom governance with three phases. The founder designed himself out of control — that's the story. The AI that helped build it has an advisory seat and a name. The public ledger will be cryptographic and automated. Every dollar visible. Every chain link verifiable.

The market window is open. eIDAS 2.0, OpenID4VP, W3C VCs — everyone's building identity wallets. Nobody's built the capability object that goes inside them. That's UCCO.

RTOpacks funds the runway. UCCO is the moonshot. Both run in parallel on shared infrastructure that costs under $150/month.

Ten pioneer keys. Ten seed letters. One spec delivered through its own protocol.
